vinProta Terms of Use

PLEASE READ THESE TERMS OF USE (THE “TERMS”) CAREFULLY. THE VINPROTA MOBILE APPLICATION (“APP”), THE ASSOCIATED WEBSITE(S) (“WEBSITE”), AND THE SERVICES AND RESOURCES AVAILABLE OR ENABLED VIA THE APP AND WEBSITE (COLLECTIVELY, THE “SERVICES”), ARE PROVIDED AND CONTROLLED BY METAPROI.INC (“COMPANY,” “VINPROTA,” “WE,” “US”). THESE TERMS GOVERN YOUR USE OF THE VINPROTA PROPERTIES AND APPLY TO ALL USERS.

BY ACCESSING OR USING THE VINPROTA PROPERTIES, CLICKING “I ACCEPT,” OR COMPLETING REGISTRATION, YOU AGREE THAT:

  1. YOU HAVE READ, UNDERSTAND, AND ACCEPT THESE TERMS;
     
  2. YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT; AND
     

  3. IF YOU REGISTER ON BEHALF OF AN ENTITY, YOU HAVE AUTHORITY TO BIND THAT ENTITY.

     

IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE VINPROTA.

1. USE OF THE SERVICES AND VINPROTA PROPERTIES

The vinProta Properties are protected by copyright and intellectual property laws worldwide. Unless otherwise specified, your right to use vinProta is subject to this Agreement.

1.1 App License

Subject to compliance with these Terms, vinProta grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App solely for your personal or internal business purposes, including:

  • Controlling the Prota Wine Cellar (temperature, lighting, sound, notifications, firmware updates) via Bluetooth;
     
  • Writing and sharing wine reviews, ratings, and uploading photos;
     
  • Participating in the vinProta community (comments, follows, badges, levels).

1.2 Updates

The Services evolve over time. You acknowledge and agree that vinProta may update the App or Services with or without notifying you, and you may be required to install such updates to continue using the Services.

1.3 Restrictions

You shall not:
(a) license, sell, rent, transfer, reproduce, distribute, or commercially exploit vinProta Properties;
(b) reverse engineer, decompile, or attempt to extract source code;
(c) use automated tools (bots, scrapers, crawlers) to access data;
(d) remove copyright notices;
(e) use vinProta for unlawful, harmful, or unauthorized purposes.

2. REGISTRATION AND ACCOUNTS

2.1 Account Creation

To access certain features, you must register an account (“Account”) using accurate and complete information, and update it as necessary.

2.2 Third-Party Accounts

You may link vinProta with third-party accounts (e.g., Google, Apple). You authorize vinProta to access information from those accounts under their respective terms.

2.3 Account Responsibility

You are responsible for all activity under your Account. You may not share your credentials. If you suspect unauthorized access, notify vinProta immediately.

2.4 Ownership

You acknowledge you have no ownership rights in your Account. vinProta retains all rights in Accounts.

3. CONTENT

3.1 User Content

“You Content” includes reviews, photos, ratings, comments, and other materials you upload. You are solely responsible for Your Content.

3.2 License to vinProta

By posting Your Content, you grant vinProta a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, fully sublicensable license to use, reproduce, display, distribute, and promote Your Content for the purposes of operating, improving, and marketing the Services.

3.3 Monitoring

vinProta may, but is not obligated to, monitor or remove any Content at its discretion if it violates these Terms or applicable law.

3.4 Storage

Unless expressly agreed otherwise, vinProta is not obligated to store Your Content. Deleted or removed Content may not be recoverable.

4. OWNERSHIP

Except for Your Content, vinProta and its suppliers own all rights in the vinProta Properties, including trademarks, logos, and software.

5. USER CONDUCT AND ACCEPTABLE USE

You agree not to:

  • Post unlawful, harmful, defamatory, obscene, or infringing Content;
     
  • Manipulate ratings or reviews to artificially promote or demote wines;
     
  • Impersonate others;
     
  • Use vinProta for spam, advertising, pyramid schemes, or promotions without consent;
     
  • Interfere with the operation of vinProta or its community.

6. INTERACTIONS WITH OTHER USERS

You are solely responsible for your interactions with other users. vinProta is not responsible for disputes or Content posted by others.

7. DISCLAIMERS

The vinProta Properties are provided “as is” and “as available.” vinProta disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, vinProta shall not be liable for indirect, incidental, consequential, or punitive damages.

9. TERMINATION

We may suspend or terminate your access if you violate these Terms. You may terminate your Account at any time. Upon termination, your license ends immediately, and we may delete your Content.

10. INTERNATIONAL USERS

vinProta may not be appropriate or available in all locations. Users outside the United States are responsible for compliance with local laws.

11. DISPUTE RESOLUTION AND GOVERNING LAW

These Terms shall be governed by the laws of the United States and the State of California, without regard to conflict of laws. Any disputes will be resolved by binding arbitration, except where prohibited.

12. GENERAL PROVISIONS

  • Electronic Communications: You consent to receive notices electronically.
     
  • Assignment: You may not assign these Terms without our consent.
     
  • Force Majeure: vinProta is not liable for causes beyond its control.
     
  • Entire Agreement: These Terms constitute the full agreement between you and vinProta.
